Definitions
In these Terms and Conditions:

“Company” refers to Electrix Direct Ltd.

“Customer” refers to any business or individual purchasing goods from the Company.

“Goods” refers to the products supplied by the Company.

2. Orders and Acceptance
   2.1 All orders are subject to availability and acceptance by the Company.
   2.2 The Company reserves the right to refuse any order without providing a reason.
   2.3 Orders placed by the Wholesale Customer shall not be deemed accepted until confirmed in writing by the Company.
   2.4 Any modifications or cancellations to orders must be agreed upon in writing by the Company.
3. Pricing and Payment
   3.1 All prices are exclusive of VAT unless stated otherwise.
   3.2 Payment terms are agreed upon at the time of order placement or confirmation.
   3.3 The Company reserves the right to adjust pricing without prior notice due to market fluctuations or supplier price changes.
   3.4 Any additional fees, including shipping or handling charges, will be communicated at the time of purchase.
4. Delivery and Risk
   4.1 Delivery dates are approximate, and the Company is not liable for delays beyond its control.
   4.2 Risk in the Goods passes to the Customer upon delivery.
   4.3 The Company shall not be liable for any loss or damage caused by third-party carriers.
   4.4 The Customer must inspect Goods upon receipt and report any shortages or damages within 48 hours.
   4.5 Failure to notify the Company of any delivery discrepancies within the specified timeframe may result in a rejection of claims.
5. Returns and Refunds
   5.1 Returns are only accepted within 07 days of delivery, subject to approval.
   5.2 Goods must be in their original condition and packaging for a refund or exchange.
   5.3 The Customer is responsible for return shipping costs unless the return is due to an error by the Company.
   5.4 Refunds will be processed within 14 days of the returned Goods being received and inspected by the Company.
6. Warranty and Liability
   6.1 The Company provides warranties only as offered by the manufacturer.
   6.2 The Company is not liable for indirect or consequential losses.
   6.3 The Customer must follow all manufacturer guidelines for installation and use to ensure warranty coverage.
   6.4 Any defects in the Goods must be reported within 3 days of discovery, with supporting evidence provided to the Company.
   6.5 The Company shall not be responsible for damages resulting from improper use, storage, or modification of the Goods.
7. Retailer Terms and Conditions
   7.1 Retailers purchasing from the Company must adhere to the agreed resale terms.
   7.2 The Company reserves the right to suspend or terminate supply agreements if terms are breached.
   7.3 Retailers must not misrepresent or modify product specifications without prior written consent from the Company.
   7.4 The Company reserves the right to limit the quantity of Goods supplied to any retailer at its discretion.
8. Intellectual Property
   8.1 All trademarks, branding, and product images provided by the Company remain its exclusive property.
   8.2 The Customer may not use the Company’s intellectual property for any marketing, advertising, or resale purposes without written approval.
   8.3 Unauthorized reproduction or distribution of the Company’s materials will result in legal action.
9. Force Majeure
   9.1 The Company shall not be liable for any failure or delay in fulfilling its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, strikes, supply chain disruptions, or government actions.
10. Governing Law
    10.1 These terms are governed by the laws of England and Wales.
    10.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
